Before 2012, if a small U.S. startup wanted to sell shares to the public to raise capital, federal securities law nearly banned it unless investors were "accredited investors" with a net worth over $1 million. The 2012 JOBS Act broke that barrier, opening the door for any ordinary person to buy shares in a startup they believe in, with just a few hundred dollars.
